1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Velo ("we," "our," or "us") governing your use of our applications on the monday.com marketplace, including but not limited to SubItems Pro (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Services.

Important: Your use of our Services is also subject to monday.com's Terms of Service and Privacy Policy. Velo is an independent software developer and is not affiliated with, owned, operated, or endorsed by monday.com.

2. Description of Services

SubItems Pro is a monday.com application that provides:

  • Bulk creation of subitems across multiple parent items
  • Cloning of subitems from one item to multiple target items
  • Column value inheritance from parent items to subitems

The Services operate as a client-side application hosted on monday.com's infrastructure and require an active monday.com account.

3. Eligibility

To use our Services, you must:

  • Be at least 16 years of age
  • Have a valid monday.com account
  • Have the legal authority to enter into these Terms
  • Not be prohibited from using the Services under applicable law

4. Account and Access

Access to our Services requires authentication through monday.com. You are responsible for:

  • Maintaining the confidentiality of your monday.com account credentials
  • All activities that occur under your account
  • Notifying monday.com immediately of any unauthorized use
  • Ensuring you have the necessary permissions to install and use apps in your monday.com workspace

5. Subscription and Payments

5.1 Pricing

Our Services are offered on a subscription basis with pricing based on the number of seats in your monday.com account. Current pricing is displayed on our product page and the monday.com marketplace listing.

5.2 Billing

All billing is processed through monday.com's billing system. By subscribing to our Services:

  • You authorize monday.com to charge your payment method on a recurring basis
  • Subscriptions renew automatically unless cancelled
  • Prices may change with 30 days notice

5.3 Refunds

Refunds are handled in accordance with monday.com's refund policies. Generally:

  • You may cancel at any time and retain access until the end of your billing period
  • Refunds for unused portions of subscriptions are at our discretion
  • Contact veloapps.in@gmail.com for refund requests

6. Acceptable Use

You agree NOT to:

  • Use the Services for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to the Services or related systems
  • Interfere with or disrupt the integrity or performance of the Services
  • Circumvent any access or usage limitations
  • Reverse engineer, decompile, or disassemble the Services
  • Use the Services to transmit malware or malicious code
  • Exceed rate limits or abuse the monday.com API through our Services
  • Resell, sublicense, or redistribute the Services without authorization

7. Service Limitations

You acknowledge that:

  • The Services are subject to monday.com API rate limits and availability
  • Bulk operations are limited to 50 subitems per parent item
  • Large operations may take time to complete and should not be interrupted
  • Feature availability may vary based on your subscription plan
  • We may modify, suspend, or discontinue features with reasonable notice

8. Intellectual Property

8.1 Our Property

The Services, including all code, design, graphics, interfaces, and documentation, are owned by Velo and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Services as permitted by these Terms.

8.2 Your Data

You retain all ownership rights to your data stored in monday.com. We do not claim any intellectual property rights over your content.

8.3 Data Processing

Important: Velo does NOT collect, store, process, or sell any of your data. Our application operates entirely client-side within monday.com's infrastructure. All data remains within monday.com's secure servers and is never transmitted to or stored on any external servers owned or operated by Velo.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the maximum extent permitted by law, we disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability and fitness for a particular purpose
  • Warranties that the Services will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy or reliability of any results obtained
  • Warranties that defects will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VELO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

Our total aggregate liability for any claims arising from or related to the Services shall not exceed the total amount you paid to us for the Services in the twelve (12) months immediately preceding the claim.

Some jurisdictions do not allow limitation of liability for certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Velo and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Your content or data

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including:

  • Breach of these Terms
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees
  • At monday.com's request

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination shall survive, including intellectual property, disclaimers, and limitations of liability.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last updated" date at the top of this page
  • Material changes will be communicated via email or in-app notification
  • Continued use of the Services after changes constitutes acceptance
  • If you disagree with changes, you must stop using the Services

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of India. In the event of a dispute, the matter shall be subject to the exclusive jurisdiction of the courts of Sonipat, Haryana, India.

Any disputes arising from these Terms or the Services shall be resolved through:

  • Good faith negotiation between the parties
  • Mediation or arbitration in accordance with Indian law if negotiation fails
  • The courts of Sonipat, Haryana, India if arbitration is not available or enforceable

15. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and Velo regarding the Services.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any right does not waive that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
  • Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
